A merger process of the companies CABELAUTO – Cabos para Automóveis, S.A, located in the parish of Ribeirão, municipality of Vila Nova de Famalicão, is in progress, holder of the unique registration and VAT identification number 502 923 210, with the share capital of 8.750.000,00 €, and CABELTE METALS – Transformação de Metais, S.A., located in Av. da Indústria, nº 382, parish of Ribeirão, municipality of Vila Nova de Famalicão, holder of the unique registration and VAT identification number 508 553 385, with the share capital of 100.000,00 €, at CABELTE – CABOS ELÉCTRICOS E TELEFÓNICOS, S.A., located in Rua do Espírito Santo, parish of Arcozelo , municipality of Vila Nova de Gaia, holder of the unique registration and VAT identification number 500 049 572, with the share capital of 27.795.000,00 €.

Such merger project is part of the restructuring that CABELTE – CABOS ELÉCTRICOS E TELEFÓNICOS, S.A. is implementing and aims to maximize synergies and reduce costs and expenses with its activity and that of its subsidiaries, with the objective of improving CABELTE’s Group economic and financial performance.

The mentioned merger does not affect the validity of the contracts established between partners and the companies involved in this merger process, so this notice is only to inform the occurred change, particularly regarding the development of the existing relationships, which will now be assumed, for all due effects, by CABELTE CABOS ELÉCTRICOS E TELEFÓNICOS, S.A. as the acquiring company.

The referred merger will be formally implemented and will produce its effects with the definitive registration of the companies’ merger.
